1. Parties
Provider: Lagom Kod AB, org. no. 559564-7545, Edsberg 221, 664 94 Vålberg, Sweden ("Lagom Kod", "we").
Client: The natural or legal person ordering services from Lagom Kod ("the client", "you").
2. Services
Lagom Kod offers design and development of websites and digital services. The scope of services is specified in a quote or order confirmation.
3. Quote and Order
All projects begin with a free consultation. A written quote is then sent by email. An agreement is formed when the client approves the quote in writing (including email). Quotes are valid for 30 days unless otherwise stated.
4. Subscription
Websites can be delivered as a subscription with a monthly fee. Subscription terms:
- No lock-in period — cancel with one month's notice.
- The subscription includes hosting, SSL, backups, maintenance, support, and ongoing changes.
- Upon cancellation the website is unpublished. The code can be purchased by switching to the one-time model.
- Lagom Kod may adjust the price with 60 days' notice.
5. One-Time Purchase
Websites can also be purchased as a one-time payment. With a one-time purchase, full ownership of the code transfers to the client upon final payment. The client is then responsible for hosting and maintenance.
6. Prices and Payment
- All prices are stated excluding VAT unless otherwise noted.
- Subscriptions are paid monthly in advance by invoice or card payment.
- Larger projects are invoiced in phases according to an agreed payment plan.
- Payment terms: 15 days net unless otherwise agreed.
- Late payment incurs default interest in accordance with the Swedish Interest Act.
7. Delivery and Approval
- Delivery time is stated in the quote. Standard delivery time for websites is 2 weeks.
- The client approves design and functionality at each project phase before the next begins.
- The project is considered delivered when the client approves the final result in writing or fails to provide feedback within 14 days of delivery.
8. Client Responsibilities
- Provide necessary materials (copy, images, logos, logins) on time.
- Provide feedback and approval within a reasonable time to avoid delays.
- Ensure that provided materials do not infringe on third-party rights.
9. Intellectual Property
- Subscription: Lagom Kod owns the code during the subscription period. The client has a non-exclusive right of use.
- One-time purchase: Full ownership of the project code transfers to the client upon final payment.
- Lagom Kod retains the right to use generic components, tools, and frameworks in other projects.
- Lagom Kod has the right to showcase the project in its portfolio unless otherwise agreed.
10. Domain and Hosting
The client always owns their domain. With a subscription, Lagom Kod handles hosting and technical operations. With a one-time purchase, the client is responsible for arranging their own hosting.
11. Support and Changes
- Subscription clients have access to unlimited minor changes via email.
- Larger additions or new functionality outside the original scope are quoted separately.
- One-time purchase clients can buy support and maintenance as an add-on service.
12. Limitation of Liability
- Lagom Kod's liability is limited to the amount the client has paid for the relevant service during the past 12 months.
- We are not liable for indirect damages, lost profits, or loss of data.
- We do not guarantee specific results regarding traffic, rankings, or conversions.
13. Force Majeure
Neither party is liable for delays or failure to perform due to circumstances beyond the party's control, including but not limited to natural disasters, war, pandemic, government actions, or serious disruptions at third-party providers.
14. Term and Termination
- Subscription agreements run until further notice and are terminated with one month's notice.
- Project agreements apply until the project is delivered and paid for.
- In the event of a material breach that is not remedied within 30 days of written notice, the other party may terminate the agreement.
15. Dispute Resolution
These terms are governed by Swedish law. Disputes shall primarily be resolved through negotiation. If the parties cannot agree, the dispute shall be settled by Karlstad District Court.
16. Changes to the Terms
Lagom Kod reserves the right to update these terms. Material changes will be communicated to existing clients at least 30 days in advance by email.
